LICENSE AGREEMENT

Please read this license and warranty carefully before using the software or hardware.  By using the software and hardware, you are agreeing to be bound by the terms of this section.  If you do not agree to the terms of this section, promptly return the unused software and hardware to the place where you obtained it and your money may be refunded.
The manual and software described in it are copyright by TRUCKBASEŽ with all rights reserved worldwide.
TRUCKBASEŽ SOFTWARE LICENSE
1.  GRANT OF LICENSE.  This License Agreement (the "Agreement") permits you to use one copy of the enclosed TRUCKBASEŽ software program, which may include "online" or electronic documentation (the "SOFTWARE") on a single computer. The SOFTWARE is in "use" on a computer when it is loaded into temporary memory (i.e., RAM) or installed into permanent memory (e.g., hard disk, CD-ROM, or other storage device) of that computer.  However, installation on a network server for the sole purpose of internal distribution shall not constitute "use" for which a separate license is required, provided you have a separate license for each computer to which the SOFTWARE is distributed.
2.  UPGRADES.  If the SOFTWARE is an upgrade from another software product licensed to you, whether a previous TRUCKBASEŽ product version of a third-party product, the SOFTWARE must be used and transferred in conjunction with the upgraded product, unless you destroy the upgraded product.  If the SOFTWARE is an upgrade to a component of a package of software programs which you licensed as a single product, the SOFTWARE may be used and transferred only as part of that single product package, and according to the License Agreement earlier provided with that single product package.
3.  COPYRIGHT.  The SOFTWARE (including any images, "applets," photographs, animations, video, audio, music, and text incorporated into the SOFTWARE) is owned by TRUCKBASEŽ or its suppliers and is protected by Canadian copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE like any other copyrighted material (e.g., a book or musical recording) except that you may either (a) make one copy of the SOFTWARE solely for backup or archival purposes, or (b) transfer the SOFTWARE to a single hard disk provided you keep the original solely for backup or archival purposes.  You may not copy the printed materials accompanying the SOFTWARE.
4.  OTHER RESTRICTIONS.  You may not rent or lease the SOFTWARE, but you may transfer the SOFTWARE and accompanying written materials on a permanent basis provided you retain no copies and the recipient agrees to the terms of this Agreement.  You may not reverse engineer, decompile, or disassemble the SOFTWARE, except to the extent that such foregoing restriction is expressly prohibited by applicable law.
5.  DUAL-MEDIA SOFTWARE.  You may receive the SOFTWARE in more than one medium.  Regardless of the type or size of medium you receive, you may use only the medium appropriate for your single-user computer.  You may not use the other disks on another computer or loan, rent, lease, or transfer them to another user except as part of a permanent transfer (as provided above) of all SOFTWARE and printed materials, nor print copies of any user documentation provided in "online" or electronic form.



LIMITED SOFTWARE WARRANTY

TRUCKBASEŽ licenses the SOFTWARE on an "as is" basis. TRUCKBASEŽ makes no warranties, express or implied, including without limitation the implied warranties of merchantability and fitness for a particular purpose, regarding the software or its use and operation alone or in combination with any other software programs. Neither purchaser, its employees, agents or distributors have any right to make any other representation, warranty or promise with respect to the software. 
In no event shall TRUCKBASEŽ be liable for special, incidental, consequential or indirect damages for loss of business profits, business interruption, loss of business information (and the like) arising from the use of software by purchaser or any third party, whether under theory of contract, tort (including negligence), product liability or otherwise.
LIMITED HARDWARE WARRANTY
TRUCKBASEŽ warrants its products to be free from defects in material and workmanship for a period of one year from the date of sale by our authorized dealers to an original purchaser.
This warranty covers repair and/or replacement at our option, of any part or parts found to be defective, provided such defects, in our opinion, are due to faulty material or workmanship and are not caused by unauthorized or improper repair or abuse, or normal wear. Buyer shall be responsible for shipping and insurance of all products returned to TRUCKBASEŽ for repair under this warranty. TRUCKBASEŽ will pay shipping and insurance for all TRUCKBASEŽ products returned to buyer provided that the products returned prove defective under this warranty.
This warranty applies only to products in normal use.  It does not apply to units or circuit boards defective due to improper installation, physical damage, lightning or other electrical discharge, or units subjected to fresh or salt water immersion or spray.
The foregoing is the only warranty expressed or implied. No other warranties exist.
TRUCKBASEŽ assumes no responsibility for any consequential or incidental losses or damages of any nature with respect to any products or service sold, rendered or delivered.
